Definition

The company focuses on facilitating seamless trade, commerce, food ordering, restaurant listings, vendor onboarding, digital marketing, bookings, payment facilitation, and customer engagement through innovative and scalable digital solutions. In addition to its technology and platform services, NEVERLETGO PRIVATE LIMITED is engaged in establishing and operating restaurants, cafés, cloud kitchens, takeaway outlets, catering units, and food delivery services, offering a wide range of food products, beverages, snacks, bakery items, and allied consumables. By combining technology with hospitality and food services, the company aims to enhance customer convenience, strengthen vendor and business networks, and create sustainable growth opportunities in both the digital commerce and food service sectors in India and abroad.

User Account Registration

• Registration is required for accessing this platform or Users shall register themselves on the Platform by providing information including but not limited to personal information such as Name, Date of Birth, Photo, Location, E-mail address, contact number, etc.
• The Registration and use of the Platform are free of cost and only when they fill out the application and are approved into the platform, they will be allowed to take the class for the same.
• Registration for this Platform is available only to those above the age of eighteen (18) years, barring those "Incompetent to Contract" which inter alia include insolvents. If you are a minor and wish to use the Platform as a User, you may do so through your legal guardian and the Company reserves the right to terminate your account on knowledge of you being a minor and having registered on the Platform or availing any of its Services.
• Further, at any time during Your use of this Platform, including but not limited to the time of registration, you are solely responsible for protecting the confidentiality of Your Username and password, and any activity under the account shall be deemed to have been done by You. In the case that you provide us with false and/or inaccurate details or we have reason to believe you have done so, we hold the right to permanently suspend your account. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions. You will immediately notify us of any unauthorized use of your account.

Liability

• If NEVERLETGO PRIVATE LIMITED fails to fulfil its obligations due to unavoidable or natural circumstances, it will not be held responsible for any indirect or consequential losses that result.
• The clients will defend, cover, and NEVERLETGO PRIVATE LIMITED harmless from and against any and all claims, losses, liabilities, and expenses related to the services provided by NEVERLETGO PRIVATE LIMITED to the clients under this agreement, including without limitation claims made by third parties related to any false advertising claims, liability claims for products or services sold by the client, claims for patent, copyright or trademark infringement, claims due to disruption or malfunction of services provided, or for any content submitted by you for publication by NEVERLETGO PRIVATE LIMITED.
• The public will be able to access any content or information provided to Shiftduty professional services private limited. for publication as soon as it is done because of the nature of digital media. Due to the nature of the content being promoted, Shiftduty professional services private limited. will not be liable for screening the material or for any losses in profit, goodwill, or other corporate assets.

Waiver

• If at any time during the term of a service contract, we fail to insist upon the strict performance of any of your obligations under the service contract or any of these terms and conditions, then this will not automatically free you from any of the obligations mentioned in the terms and conditions and will not constitute a waiver.
• Any waiver of conditions and terms must be given to you in writing in order to be legally enforceable.

Term and Termination

This agreement will remain in full force and effect while you use the website in any form or capacity. The company reserves the right to terminate your access to the Website and this Agreement in the event of a breach of any terms contained in this Agreement, misrepresentation of information, any unlawful activity, or inability to verify.

Rights and Obligations Relating to the Usage of the Platform / Website

• Any unlawful activities in the Platform which are prohibited by laws of India.
• The Company shall, upon obtaining knowledge by itself or being brought to actual knowledge by an affected person in writing or through email signed with electronic signature about any such information as mentioned above, be entitled to disable such information that is in contravention of this Clause. We shall also be entitled to preserve such information and associated records for at least 90 (ninety) days for production to governmental authorities for investigation purposes.
• In case of non-compliance with any applicable laws, rules, or regulations, or the Agreement (including the Privacy Policy) by a User, we shall have the right to immediately terminate your access or usage rights to the Platform and Services and to remove non-compliant information from the Platform.
• We may disclose or transfer User-generated information to our affiliates or governmental authorities in such manner as permitted or required by applicable law, and you hereby consent to such transfer. In accordance with the applicable laws, we shall transfer sensitive personal data or information including any information, to any other body corporate or a person in India, or located in any other country, that ensures the same level of data protection that is adhered to by us, only if such transfer is necessary for the performance of the lawful contract between Company or any person on its behalf and the User or where the User has consented to data transfer.

Applicable Law

This Agreement is published in compliance with, and is governed by the provisions of Indian law, including but not limited to: The Indian Contract Act, 1872; The Information Technology Act, 2000 (the "IT Act") and The Consumer Protection Act, 1986.

Intellectual Property Rights

All the Intellectual property used on the Website by the Company, service providers, or any third party as the case may be shall remain the property of the Company, service provider, or any other third party (as applicable). You agree not to circumvent, disable, or otherwise interfere with security-related features of the Website or features that prevent or restrict the use or copying of any materials or enforce limitations on the use of the Website or the materials therein.

Dispute Resolution and Governing Law

This agreement and any contractual obligation between the company and you will be governed by the laws of India, subject to the exclusive jurisdiction of courts in Jharkhand. All disputes will be subject to arbitration in Jharkhand by a single arbitrator appointed by you and the company under the Arbitration and Conciliation Act, of 1996.

Notices

All notices and communications shall be in writing, in English, and shall be deemed given if delivered personally or by commercial messenger or courier service, mailed by registered or certified mail (return receipt requested), or sent via email with due acknowledgment.
